And where are the EFL? EFL said in August 2021:
Having considered the request for information made of them, Morton House MGT, on behalf of its directors, and representatives, has now informed the League that it is formally withdrawing from the approval process and plans to divest the shares acquired in the Club at the earliest opportunity.

Furthermore, Morton House MGT, its directors, and representatives, have confirmed to the League they are refusing to co-operate with the League’s ongoing investigations. Despite these developments, the EFL will be continuing with its disciplinary investigations into this matter and will take the most appropriate action available to it under its Regulations.


Morton House tell the EFL they are withdrawing. Morton House now suing the Dale Trust and the club.

Not the actions of someone withdrawing.

I wonder if the EFL have seen them comply yet.

I seem to remember when Southall first appeared (as in publicly, not at the chippy in April) that he threatened to sue individuals on the board.

This all sounds big and scary, but in reality feels like a desperate last throw of the dice by 'Morton House'... I reckon it adds more weight to the EFL investigation into them too. I wonder if their aim here isn't so much to go to the high court and fight there (as everything rumoured about them could come out) but instead to try and force the club into a 'settlement agreement' to buy the shares back at the price they paid.

Interesting times. Gut feeling is we need to support the club in making this very, very visible very, very quickly.

The EFL have a great deal to answer for. If they'd been proactive on behalf of their member clubs it wouldn't have to come this. Indeed, i'd go so far as to say that their inaction has emboldened the Morton House crew, who would no doubt have been waiting to see what action the EFL were going to take in the light of their August statement

The EFL have a great deal to answer for. If they'd been proactive on behalf of their member clubs it wouldn't have to come this. Morton House has changed its legal owner (Darrell Rose to Faical Safouane) but is still pursuing the club.

In my opinion not a very clever action on behalf of Morton House et al. It will provide a public platform for all and sundry as to the motives and actions of these 'businessmen' and which will not be of benefit to their reputations in the long run. Who would want to have their dirty washing aired in public? Or is another smoke and mirrors action like Southall's previous threat of a court action? I guess that certain parties may be behind this in an attempt to recover monies shelled out and are perhaps putting pressure on others. Perhaps the investigations into funding sources, accusations of homophobia etc are progressing towards conclusions. and the panic button has been hit?

I assume that all interested parties who have previously been kept in the loop, eg the EFL, the FA are being advised sooner rather than later.

As mentioned on here recently, Southall isn't the most reliable where Companies House information is involved.

There have been numerous threats towards OUR club in recent months by parties who want it for their own egregious interests that have amounted to nothing. Non-shareholder Southall threatening High Court action to stop the last EGM for example. That came to nothing. In desperation, some cockamimi action is drawn up in a lame attempt to put the frighteners on so RAFC will buy up their shares that they have been unable to "divest" (as they told the EFL) since last August. Wonder why they can't sell them?

Time for the EFL to put a stop to them once and for all. One wonders about the involvement of a 50+ years supporter of "this wonderful football club" in all this malarkey?

Surely the fact they hadn't passed on share transfer forms to the club means that they weren't officially shareholders at the time.

Either way I'm sure all actions of the board were under legal advise. This doesn't feel like something we should be too worried about.

The instant reaction from lots of Charlton fans is that this is a common tactic they saw from Matt Southall & his cronies.

Is it a concerning pain in the backside? Yes.
Is it cause to be unduly concerned? Probably not.

One thing to take from this is probably that its safe to say Morton House don't want anything more to do with RAFC - this certainly isn't the action of a 'company' wanting to get fans / shareholders / governing bodies / the wider public on side ahead of involvement in the club.

By taking on the Trust, they are by proxy taking on every single Rochdale fan all over the globe. We are up for the fight.

In my mind, judd, the only outlet that Morton House have available to them is to do a deal with the Trust.

If you think about it, all that has happened here is that there a large long term shareholder who had locked up a large wedge of capital in shares in Rochdale. He was the largest shareholder.

Brian dies in May 2014 and his son, Andrew, gets the shares. No cash inheritance but still a place in the club. But not cash.

Andrew eventually becomes Chairman when Dunphy goes - largest shareholder privilege, wealthy chap.

But still not cash rich.

Then, one day, an absolute cretin come along and persuades Andrew Kilpatrick that he will part with his shares in return for a big bag of gold and silver coins.

An exchange occurs (clearly contrary to EFL rules) but never the less Andrew Kilpatrick walks away with the big bag of gold and silver coins and Morton House have the worthless piece of paper.

Minority shareholdings are worthless.

This appears to be an attempt to frighten the club and Trust and supporters.

This appears to be a great big two fingers up to Rick Parry, the EFL and the EFL's processes.

What nice people.

You'd have thought after the EFL announced in August they were all under investigation that the conversation went like this:

"Jarvo - can we get out of those share deals?"

"Yes boss"

"Boss - actually, we can't"

"What about the money"

"Paid boss"

"All of it"

"Yes boss"

"How much?"

"£1.2m"

"Jeez Jarvo - £1.2m"

"Don't worry boss. I'm getting my mate Matt Southall involved"

"He want's to pay £1.2m?"

"No, he's going to leak that he has a deal and pretend that he is and hope that other investors appear"

"Good idea. "

3 months passes by

"Jarvo"

"Yes boss"

"Has Southall sorted it"

"No boss"

"What's the matter now?"

And so we begin 2022.

Shares bought in July 2021.
EFL investigation in August 2021.
Threat of legal action in January 2022.

EFL and the media will be all over this.

Hmmm. So Morton House think they have a claim against the Directors AND the Trust Directors. First and foremost there has to be a financial loss or an unfair prejudice as a result of actions taken by those named. Where is the loss that is attributable to those named? MH made private offers to buy shares from certain shareholders in private limited company. Some people agreed to sell and money was paid. So far so good. Has the board been informed of these transactions? MH still own their shares. Where is the loss? If they have sold the shares to Southall, where is the loss and what possible involvement does RAFC have in this arrangement?
The Directors decided to issue more shares to raise further finance, its a very common occurance as anyone who invests in shares will tell you. Where is the loss to MH? Did they attempt to buy more shares to maintain their percentage ownership? If not, why not? where is the loss?
Could the RAFC Directors have agreed to accept the share purchases without the agreement of the EFL? Apparently not. MH then refused to take part in the required EFL processes, this has no bearing on RAFC Directors or Trust.
So we are left with a malicious law suit which on the face of it seems doomed to failure and given the attitude of former MH directors towards the RAFC directors could involve MH in a raft of expenses and possible claims for damages.
Any Lawyer will tell you that going legal should be a last resort when every other avenue has failed. I hope their lawyers get cash up front!
The bottom line is that you cant hatch a plan, execute it poorly, refuse to take part in required processes, insult people and then expect the people on the receiving end of "the plan" to pay you when it goes tits up. This seems like the last resort of scoundrels.
