The world's most inept football broker, Captain Sabotage has only gone and managed to sell out the nations most lovely payroll pensioner Denise Valarie Courtnell to the investigators of possible payroll crimes at HMRC.

Ever since David Bottomley met with Andrew Curran, Matthew Southall and Alexander Jarvis on the 29th April 2021 Fat Pat has kept a close eye on matters concerning these gentlemen and come to the conclusion that Morton House is all a bit of a front.

Fat Pat is currently away in the Republic of Ireland at the moment on her end of season holiday but she is still hot on the heels of justice. With these difficult inflationary times for government its important that HMRC collect as much tax as they possibly can. [N.B For anyone wanting a greasy chip barm, the Willbutts Lane Chippy reopens a week on Tuesday.]

As the advert reminds us, "tax doesn't have to be taxing" and that is definitely true when you are running a payroll company or in Denise Valarie Courtnell's case a multiple number of payroll companies which the clever legislators call a "Managed Service Company"

Everyone knows that Alexander Jarvis' IT passwords are leakier than a porcupine's raincoat and nearly 10 months on from when he first darkened our doors he still not secured his online accounts and they are backing up all over the world.

Alex - we keep telling you change your passwords FFS!

BUT as we all know Jarvo was involved with Morton House from the outset as he blabbed to the Daily Telegraph in August 2021:

The call nevertheless prompted a WhatsApp message from Alexander Jarvis, who described himself as an adviser to what he admitted was a “hostile takeover” and said that Curran was “a bit of a recluse”.

Southall began by stating that he was contacted by Alexander Jarvis on behalf of Morton House with a view to a purchase of the shares. He said that he had known Jarvis for a few years and the pair had worked together before including at Charlton. Jarvis had told him that he had a deal that had “gone wrong” that might be of interest Southall.

Here's the doozy. Unfortunately, Alex has been less careful about his other documents left his in possession from Morton House on various unprotected servers and he's just been thanked on Monday by HMRC for giving them this:

To those untrained in reading and writing (Hi Matthew Southall ) this image appears to be a HSBC Morton House Business Corporate Account summary page dated 13 May 2021, well before our AGM/EGMs

The online user logged in is "D Courtnell" (Dennis, Dave, Darren or Darryl) We can't think who else it might be!

The amount in the account: £1.7m

Helpfully there are a number of review notes below the image which read as follows:


1. Sort code and Account number tie back to HSBC UK Bank PLC branch in Romford, Essex.
2. Date and time of electronic bank statement is 13th May 2021 at 14.38
3. Balance available shown as £1,731,630.98 corresponds with a value of money which cannot be accounted for by Village Energy Solutions Limited (Registered Company: 11215024)
4. Online banking user is “D Courtnell”

Then on Monday 16th May 2022- glamorous granny Denise turned 79 years old. The family had a birthday party, the care home cracked out the orange juice and a good time was had by all.

Then today Thursday 19th May 2022, Denise resigned from Morton House at 8am, backdated to the 5th October 2021. By 4pm she had been reappointed as if she had never left.

The significance of the 5th October 2021 - wasn't that the day before an RAFC EGM?

Alexander loves Denise - he's got a thing for the older woman. Denise puts her left leg in, her left leg out - just like the care home birthday party. Another old boy apparently joined in with YMCA later in the afternoon before Countdown and needed urgent medical attention having forgot he needed to remember the use of a Zimmer frame.

Someone is going to have to explain how there is £1.8m of money that can't be found in Village Energy Solutions Limited (which Morton House own 80% of) and then £1.7m "resting" in that accounts Jarvis has leaked.

Jarvis might want to get on the blower to Faical and tell him that he's inadvertently given the game away (again!). Why Alex would leave those bank details lying around for anyone to find is beyond us.

The best bit judd about the Morton House accounts is how they don't mirror the actual economic reality of the UK economy for the periods where they have been produced.

Let's start with this. To run a payroll company you deal with lots of personal data and data protection of your clients.

1. Morton House - not registered with the Information Commissioners Office.

In both years, Morton House has TWO employees.

In the year ending July 2020 Morton House makes a financial profit of £109,384.

In the year ending July 2021 Morton House makes a financial profit of £1,364,415

Defying all the odds.

Then add in that £1.8m goes missing at Village Energy Solutions Limited

Morton House has filed unaudited accounts which indicate that it has less than £10,200,000 of turnover.

That means in the year to July 2021, a year of pandemic, Morton House has a net profit margin of 12.7%. All with TWO employees.

Morton House did not need furlough.

It's effectively been the best performing business I can ever think of run by an elderly care home resident and Casablanca's finest.

Some might say "too good to be true".

May we suspect or not, that Denise and Safouane are the front of a dodgy company, with the real power being with some questionable person or people, who are seeking to keep their connections to MH at a minimum to avoid investigations from the SFO, HMRC and other governmental bodies into where the money as come from and who received any payments from MH.

Denise resigning one day and being reappointed the next day, should raise a red flag to any governmental body.

That is before HMRC decides whether to check whether those declarations are accurate. If they are not, they have the power to assess the correct sum, adding to the existing unpaid bill. They can also add interest and penalties on to that amount.

Best of all, the Finance Act 2007 allows them to apply such a penalty to the company officers personally, instead of applying one against a company that may lack any assets. So any dodgy directors attempting to mislead HMRC are playing a potentially expensive game.

Such penalties are civil penalties, and may amount to 100% of the tax owing, as well as the tax itself. And the interest.

Then course, as an equally powerful alternative to the above, there is the criminal route, where HMRC can and does mount criminal prosecutions in cases of serious tax/VAT fraud.

It's all setting-up quite nicely for an interesting period in MH's history.

I think Morton House realise the dire predicament they are in with failing with the full takeover attempt and a saga that has brought a full-on EFL investigation, UK wide press scrutiny into their operation.

The Bottomley / Jarvis / Curran / Southall plan was fairly simple - buy 51% from a small number of key shareholders and control it ; ensuring the 49% got nothing.

Do that buying of 51% behind the backs of the fans and then announce it in a way that gives them no choice.

The plan failed and once exposed it drew so much attention they are now further exposed as follows:

1. Money

Alexander Jarvis sunk Morton House when he came out in the Manchester Evening News on 12th August 2021 with a badly prepared statement in the name of Andrew Curran.

Furthermore, we have paid in excess of £1 million to date in consideration for shares, due diligence and legal costs.

That £1m belongs to someone somewhere - assuming that the selling shareholders had not been paid in chocolate buttons but have taken the Morton House money and scarpered on their toes.

That disclosure from Jarvo was so helpful to the EFL that 4 days later it led to:

On 16 August 2021, in accordance with its Regulations, the EFL issued notice to multiple individuals of the commencement of disciplinary investigations in respect to the acquisition of shares in Rochdale Association Football Club.

It is alleged that Morton House MGT acquired Control of the Club, and a number of individuals became Relevant Persons without the prior consent of the EFL in accordance with the Owners’ and Directors’ Test (OADT).

The EFL’s objective was to gather additional evidence as it continued to investigate whether the Club, any Official, any Relevant Person(s) and/or any Persons wishing to acquire Control of the Club complied with the requirements of the OADT and whether any Relevant Person(s) are subject to a Disqualifying Condition.

Having considered the request for information made of them, Morton House MGT, on behalf of its directors, and representatives, has now informed the League that it is formally withdrawing from the approval process and plans to divest the shares acquired in the Club at the earliest opportunity.

Furthermore, Morton House MGT, its directors, and representatives, have confirmed to the League they are refusing to co-operate with the League’s ongoing investigations. Despite these developments, the EFL will be continuing with its disciplinary investigations into this matter and will take the most appropriate action available to it under its Regulations.

More importantly, the EFL will continue to work with Rochdale AFC as we collectively seek to ensure a successful and sustainable long-term future for the Club and all those associated with it, particularly its players, staff, and supporters.


7 months later, on 16 March 2022, the EFL charged the club and "the Club and a number of other individuals with alleged breaches of EFL Regulations.

One assumes the Disciplinary proceedings against the Club and a number of other individuals are ongoing.

3. The HMRC investigation into Village Energy Solutions Limited

Just before the EFL investigation concluded and charges confirmed, the Insolvency Service banned a director - Donna Nada of a Morton House subsidiary company - called Village Energy Solutions Limited - for seven years. The principal reason for the bans was the failure to explain £1.8m of payments made by Village Energy Solutions Limited before it failed.

HMRC had petitioned the High Court for the winding up of Village Energy Solutions Limited in 2019 and in November 2021 - 3 months after the EFL investigation had started, a court liquidator was appointed.

The case was transferred to the Old Bailey in May 2022.

4. What might happen next?

Given the activity since the EFL's August 2021 annoucement, it's very possible that HMRC will get to Morton House well before the EFL or the High Court. In that case, the shares purchased would be part of the of the relevant criminal and civil investigation by HMRC into individuals and nothing could possibly happen for a long time. HMRC are owed significant monies from the Village Energy Solutions Limited failure and the question is where that money is and what has happened to it.

That is a significant investigations into potential Proceeds of Crime and the broad rule there is that HMRC and the police will seize assets and then make individuals prove where they got that money from.

Equally, the EFL have had so long now sitting on the fence that at some point, they have to come out and say who or what they find guilty of breaking which rule. Even at the glacial pace of the EFL, they will outpace the High Court process and you'd think we'd probably find out that thinking before next season starts at the end of July.

What is really unclear is what Morton House actually want from any court process. They haven't a majority shareholding in any way and are literally hated by the fans.

To gain ownership, they'd also have to pass all the EFL tests on sources and sufficiency of funds, which brings us back to where did the money come from?

I'd be amazed if the EFL haven't run this by HMRC already; particularly as the EFL will have been talking to HMRC about Derby County and the money owed there.

If Morton House simply are looking for someone to buy the shares back - there's the issue of price (they massively overpaid) and there's the issue of money laundering. Any purchaser will want HMRC to guarantee that the proceeds are not either proceeds of crime or money laundering.

Depending on any buyer they'd all have to go past the EFL and so the whole happy story would start again.

The High Court action was a last resort by Morton House given Jarvis had dropped them in it so publicly. If he'd have kept his mouth shut they would have had a chance to privately negotiate but when the EFL got wind of his disclosures then they had to act.

I'm not sure given the Village Energy Solutions links Morton House want to go anywhere near a judge; given case transfers to the Old Bailey, the decisions might be taken out of their hands by HMRC.

The last thing Denise wants are more visitors in the care home reception or Faical having customers at Argos coming in wearing Dale shirts.

They'll want a private under the table deal and no questions asked so they can sneak off into the sunset. I'm not sure the authorities of HMRC and EFL will allow that.
