.....to dump the shares in Rochdale Football Club that his clients Andrew Curran and Darrell Rose don't yet legally own at £6 a share!

Here's the thing folks.

Young Jarvis has set all of this up on a bit of a flyer.

Back in early May, Alexander Jarvis is claiming in leaked emails that Alexander Jarvis met with former CEO David Bottomley with regard to a takeover of the club.

David Bottomley openly admitted in public interveiws available on YouTube that he wanted an outside investor and a training ground for Dale and was prepared to compromise the integrity 100 years of league football to do that and so that he could be a part of a club that owned its own training ground.

Jarvis wanted to do a deal - any deal he could given quite a poor track record of failing with a number of football clubs where he was the nearly man.

Here's the first bit of humour. Jarvis reckoned he was so much brighter than most at the club he was bragging about it to quite a lot of people. Jarvis believed that those running the club doesn't really understand business and that he'd be able to be used and moulded to what Jarvis wanted and then tossed aside.

At the Swindon game on 13th April, the one with the protest, a secret behind closed doors beauty parade was held. Andy Curran was in the building that night.

Rochdale were relegated vs Doncaster and (as witnesses have noted) the champagne was opened. Relegated and hopeless under BBM a takeover would now be seen as a positive if Rochdale wanted to "survive"

Bottomley and Rawlinson were removed democratically at an EGM on 1 June 2021 by a Trust motion in line delivered in line with the Companies Act.

Jarvis persevered. Opportunists always do.

A deal was verbally done for Andrew Kilpatrick's shares. Jarvis arranged an Non Disclosure Agreement - "NDA" with Kilpatrick and a power of attorney so that he could control the 110,000 shares. Roughly 22% of the club.

Similarly Jarvis then reached across the pond to the United States of America and did the same trick with Dan Altman and Emre Marcelli. Two more NDAs, two more powers of attorney and hey presto another 74,685 shares. Roughly 14% of the club with that transaction and now 36% of the club all in.

This is easy pickings thought Jarvis and armed with both a list of shareholders and their contact details, David Bottomley's pre-AGM presentation and other information sourced from his relationship with the former CEO, he set about trying to secure a further 14% of shares. Alexander Jarvis has emailed David Bottomley's private shareholder presentation to external parties which does make you question how Alexander Jarvis got hold of it? I am sure that these emails from Alexander Jarvis could be reproduced in the public domain if required.

Curran and Rose were persuaded by Jarvis to then move their funds to a law firm; Gateley PLC and Gateley PLC were given the job of rounding up all of the documents for Kilpatrick, Altman and Marcelli and writing them in such a way that meant the payment was completely conditional on getting control of the club.

Gateley PLC were asked to advises on a range of corporate matters, including the acquisition and general corporate governance matters. The money still sits in their hands and hasn't move as the deal hasn't moved as Jarvis wanted.

Now, we all then know that Jarvis makes a big mistake and lets the cat out of the bag. His Blackbridge Sports email address is compromised and in the process he manages to loses a lot of his own data - ironic really that having been handed the private email addresses and phone numbers of certain shareholders, which he used to make emails as calls, he makes the rookie error of leaving his data unprotected.

The breach exposed Curran and Rose and all they had previously kept secret.

Meanwhile in London, Andrew Kilpatrick is saying "Where is my money Alex?"

In the USA, Dan Altman and Emre Marcelli are asking "When will we complete and get paid Alex?"

Jarvis tells them some cock and bull story about "the next few days" and from that bedlam ensues with the EFL. Rochdale fans are called "small minded" and "nancy boys" by one of the buying party and Jarvis has to backtrack in the Daily Telegraph.

The upshot is, the Curran and Rose have been committed to nearly £1m of purchases that they can't get out of but they don't want to make those purchases unless they can guarantee control.

They are exposed financially and they can't simply withdraw than money back out of Gateley PLC.

They've gone from being really keen to buy the club to being really keen to not buy the club.

Andy Curran isn't answering his phone anymore, Alex Jarvis has not go a lot of friends left as between people at the club, Curran and Rose no one has got what they have wanted.

So tonight, if you want to buy Rochdale shares from Jarvis you can do so for the sum of £6 a share.

Jarvis is now a seller not a buyer because, if he doesn't complete the purchases of Kilpatrick, Altman and Marcelli then they will sue him and sue Curran and Rose for what is known legally as "specific performance" or in English - pay me what I am owed.

The last thing that Darrell Rose and Andrew Curran want is to turn up in the High Court being sued by Kilpatrick, Altman and Marcelli.

The second last thing they want is to sink a cool million quid into a minority shareholding of a well organised, well run and well mobilised club where virtually every supporter knows forensic details about them that are in the public domain. Supporters invariably have long memories.

So too do the folks at HMRC, various landlords of rental properties that have rent owning and anyone who wants to type their names into Google, including the EFL and quite a lot of Swindon Town fans!

Add into that a sprinkling of a cast of characters, Kelly Curran, Taylor Curran, Denise Valarie Courtnell, Oliver Rose, Faical Safouane, Mark Farrugia and many more and the whole thing is completely in the public domain.

At £6 a share Jarvis is trying to save face and his skin and make his clients a 20% return in order to pay Gateley PLC's not insubstantial legal fees.

Practically those shares are all worthless because there is no market for them.

And the best bit - Alex Jarvis is the one who has breached his own NDA's. Andrew Kilpatrick and Dan Altman will be FUMING to find out that that we know that they would sell the club down the river.

You really could not make this up! Or could you?!

It's astounding RAFCBLUE managed all this with his "small mind". Imagine how much sh!t these guys would have taken if he had a big clever shiny one like theirs!


Interesting that the 'baddies' got caught in the Aljazeera documentary and are being exposed by several of our own for what they are here now too. Who knows what ramifications there'll be down the line? It's almost as if crime doesn't pay when you get caught! Fortunately we had Jarvis to deal with. Unlike the more sophisticated and resourced Samuelson, 'our Mandie' actually gave us clues. RAFCBLUE rightly suggests the laws of the land should dish out punishment where crimes are committed, not 'heavyweights'.

Could it be at the moment 'the source of funds' is held on a usb stick in the form of crypto. I expect the EFL wouldn't officially recognise that as legitimate. The market experienced a large dip after Musk declared Tesla wouldn't be accepting Bitcoin, however the crypto market has been rising.

Trying to stop the sale of the Kelly shares is understandable but desperate act. Curran and Rose probably knocked on every other sizeable shareholders door and firmly got it slammed in their faces. If Kelly’s shares were taken out of the equation the chances of javis getting to 50% are practically zero, particularly with the trust actively working to get to 50%.

Rose and Curran are now desperate if they can’t get anymore shares even at £10 a share they have nowhere to go, and their business affairs are being put in the spotlight like never before.

No doubt there will be penalties if the back of the sale, and the shares are worthless to anyone other than a dale fan. Jarvis can ask for £6 a share but the chances of getting it quite rightly are slim. Somewhere down the line whether it be when the EFL rule on their fitness or when the Kelly share transfer is completed they are going to have to cut their losses.

Either back out of the deal and take their chances that Kilpatrick and the yanks don’t pursue them or they decide to do a deal at a loss.

Personally I hope they don’t get a single penny. The club did not bring this it’s self and funds that should be going to the club should not be channeled to Kilpatrick, the yanks or these chancers. But in reality may mean that somewhere down the line a deal will need to be done. But it should be at the smallest amount possible.

Kilpatrick and the yanks were free to sell their shares, the shame is if they were open about it a deal could probably have been done with the new directors and everyone would have been happy. instead they all fell for javis’s bullshit and have now got their fingers burnt.

The scary thing is how close to losing control this club we love we have come. If it wasn’t for the work of Col and the trust, Simon and the new board and fans like RAFCBLUE then I’d hate to think. We are in their debt and we owe it to them to make the trust even stronger and create an even stronger bond between the fans and the club. When this is resolved I think we will find the club have never been more a united force.

We are still not out of the woods but if the remaining shareholders stay strong hopefully we will stay on that path.

Totally agree 100% it’s the last throw of the dice by desperate chancers

It shows that they know there is no other route open to 50% . I suspect it was done so that the trust couldn’t announce they had more than 50% support before they went before the EFL. It reeks of delaying tactics rather than a cast iron case!!

Legitimate question - where does the proposed deal / sale agreement stand if the EFL deem Montrose house, Rose, Curran or whoever “not fit persons”?

Is any agreement nil and void ? Are we back to square one with the yanks and Kilpatrick now holding the shares with no agreement to cash in?

If this is the case their share holding would be significantly be reduced in value if the collaboration of shareholders control the other 58 %

With no one else to turn to and the Ill feeling from fans towards them their options would be limited as would their expected payday!!

Is that the case?

Not much mention on here about Graham Rawlinson who sold a wedge of shares similar to Bottomley's total?

With him being ousted from the board. I guess there's been no correspondence with him and chance of getting him to rethink the selling of shares to Jarvis?

Hopefully he will tale a leaf out of Andrew Kelly's book and sell the shares to the trust and then donate to the club to preserve his families legacy and reputation with the club.

One think for sure, Mr Jarvis is in a pickle, he exposed his clients to a forensic examination and their dodgy dealings and lack of money have been exposed for all to see. He is faced with two options cut the clients losses or carry on and use more questionable actions to get the shares they need, but face getting to told bugger off by the EFL, risk official government investigations from the HMRC and SFO into their business dealings.

When i asked him at a fan's forum about his legacy as Dale Chairman, his answer was dull and non-committal but i bet he didn't expect it to be "vying with Tommy Cannon for the title of most reviled Chairman of the club"

There's still a chance for him to step back from this, but it'd have to be a gesture from him rather than having his arm twisted, or for pure financial gain. There's other gestures that spring to mind from Dale fans whenever his name is mentioned in future

If that is the case, that's the get-out clause that Curran, Rose & Jarvis are waiting for. It may be why they have been so utterly useless in front of the EFL. Other than being small-minded folk, of course.

I think the likes of Bottomley and Jarvis are in serious danger of being on the receiving end of some disgruntled wrong uns, who were promised an easy deal that would go under the radar. That won't be a legal telling off, a fine, and a new job. They may get a blue badge out of it though, so every cloud and all that.

Then A.Kilpatrick, Altman, Marcelli, Rawlinson and Bottomley are left with shares that they really should be looking to offload to Dale fans (including the Board, Trust and Fans), at no more than cost. They could consider themselves very fortunate if they get that much.

If they're looking for a way out, why not withdraw their legal action against Andrew Kelly's sale of shares to the Trust?

I could maybe see some twisted logic in that would indicate to everyone else what their intentions were; but since that'd happen soon enough (if that was their intention) i'm not sure what they stand to gain by continuing with it. Legal fees mount up, as you say

You ask yourself as things stand who benefits and who loses if they fail the fit and proper persons test.

It gives Curran and Rose a way out if somewhat with their reputation tarnished (😅😅😅)

The EFL look as though they have been tough and avoid a potential headache

Javis can say “not my fault they failed!!”

The club and trust quiet rightly get the plaudits for saving the club!!

To me the only losers are Kilpatrick, the yanks and the other traitors whose windfall is up in smoke and are left outcasts from the club!

No I don’t think it would.

The big difference would be it would be public knowledge that the remaining 58% of shares are held by shareholders who won’t sell and control the club.

Who would buy them unless they were of the same mindset?

So, let’s sAy all this falls through and the original shareholders are back to square one, owning their respective percentages won’t we find ourselves in a situation whereby they will be offered first dibs on any new share issue? If they were being vindictive might this lead to future problems?

Is it possible A Kilpatrick has basically been duped? By that I mean he has been 'sold' the idea these 'investors', are what the club really needs to kick on etc and there will be a nice windfall for him in the process and that it will be win win situation. Now he realises the ramifications for the club. But is unable to admit his mistake for some reason.
