| Cooper and the Owners 13:47 - Feb 3 with 5578 views | 34dfgdf54 | Touched on it in the Arriolla thread, but this fella couldn't make it more obvious he isn't a big fan of the owners. He didn't want Arriola, I have zero doubts. Pleased with deadline day? "I’m pleased we didn’t lose anybody. Like anything, you bring players in with the idea that it can help you. The proof will be in the pudding. I’m very happy with the squad of players anyway, but it's always good to get some fresh faces in, and hopefully it can help us going forward." Arriola? Very energetic? "It’s a non-negotiable. We’ve got a reputation for our style of play, we want to play with a lot of energy, heart and soul. Any new players will quickly see we’re very demanding." How well supported have you been by owners? I don’t think about that too much, all I think about is the players I work with every day. You’ve got to think about what you have got. I’m looking at the squad now, and whatever squad we had, I’d say ‘how do we prepare and win the next game?’. | | | | |

Poor, incessant bullying tactic. And, most importantly, for what purpose ? Of course we all want to the club to invest cleverly to get us to the next level. Nobody is advocating spend spend spend - just so folk like you can reel out your tired old hackneyed lines. Cooper is giving the US guys game time. I was surprised Arriola was given a run out although the game was already lost. Derby migh have made a huge error in Whitaker.. One goal in 19 in a wingers position but he scored a lot of goals as no 9. Cooper got the team to the top of the table wthin a few points and now has added Hamer, Hourahaine, Arriola and Morris three full internationals in their prime plus Whittaker. This should result in better performances with no more fixtures v Norwivh or Brentford. [Post edited 11 Feb 2021 15:20]

Good thinking JB . A fan asking questions and looking for explanations. What are banks offering these days? 5% sounds reasonable to me. The Trust could also be benefitting from this deal if they had any money. It also is some form of guarentee that the club will not go bust as they would all lose it all. Of course if Silverstein is true to his word he will simply convert his loan into shares. He said he was an investor not a speculator. I read somewhere the 5% either would not be paid at all if he converts or if it runs the 5 year term it is paid in shares. It depends on the terms. I have no problem with the Welsh shareholder getting diluted. It is a good thing. The minor shreholders have been living the good life from the VIP seats for years some, nameless ones sitting on cash gaining pitiful interest according to accounts. [Post edited 11 Feb 2021 15:39]

The Convertible Loan note allows for converting the loan into shares. Had the Trust agreed to sell some of their holding in 2017 at 2016 PL price, 5%, they would be in a postion now to buy the new cheap shares at a discounted championship price. The 5% annual interest could also be convertible into cash and extra shares depending on terms. The new agreements with the US peole should give the Trust the same investment 'perks' the US people like Mr Silverstein was offered. To do this they need some serious money in the bank under management and be prepared to use it and be able to make their case. They should use any profits for reinvestment in stadium expansion for example if that prospect returns. .

Oh god here goes again: - Do you know if a loan note has actually been issued? You've read&posted an article regarding their existence, but there's no evidence to say that's what's happened here. - Why would the trust have sold shares in 2017 at a rate that wasn't deemed acceptable? How do you know the Americans were willing to buy 5%? - Well thus far the trust or any other shareholder (as far as we know) have had no opportunity to get involved in any of this. Or get these 'perks'. - The trust should invest their money in stadium expansion? That's a new one. Where would the club stand on a ffp standpoint if they or any other shareholders did that??

There was a pdf issued by Companies House. Seems like good evidence to me. The Trust voted to sell 5% of their shares in 2017 upto 10% if the club stayed in the PL over in stages of a few years. But 5% was up front. It was in the press and Trust statements. It was agreed in principle. The offer was the same as the previous sellers according to the US people. As co owners "on good terms" the Trust should if networking properly be able to get the same deal as an outsider like Silverstein. The Trusts money is as good as anyones. The Trust investing in the stadium is not new concept at all it was part of the 2017 discussions and may be a reason for the talks failing. It would have been a good investment as stadium expansion would have incrreased revenue and allowed for stadium sponsorship. This might still happen. Stadium expansion is an investment like Tottennham Hotspur and not trading losses so does not affect FFP, I would guess. Spurs are not in bring trouble.

The PDF provided evidence of what exactly? Just said its a loan payable back within 5 years. No mention of a CLN was there? But the Americans called off those discussions so the trust was unable to sell their shares at that point. The trust can't physically force them to buy them. Same deal as Silverstein? In what sense? The trust don't have 5odd miliion to buy shares with or loan the club. Nor would they want to take 5% interest from the club. Nor have they been offered to the chance to. The Americans stated in their recent statements that they wish to talk with the trust, we'll see if their words are backed up by actions. Not new no, but it didn't happen. Maybe because the club do not own it. Wouldn't neccessarily have increased revenue, by 2017 we were on the slide&sellouts were rare. Not sure how sponsorship would change by extending either. I'm assuming we'd have to get promoted and stay up for a considerable amount of time for the Americans to sanction the outlay. How much would expansion cost? I don't think it wouod be subject to FFP but i suggest it would take up a lot of (maybe all) of the trust's fund should it be able to sell its shares, which would negate the whole point of selling the shares in the first place.

I am not here to prove stuff to you. The club has taken a CLN. Please contact your Trust representative for confirmation. The chairman of the Trust confirmed it on twitter or similar portal. The US called off the 2017 talks blaming the Trust for wasting their time in an acrimonious atmosphere which saw two Chairman resign in chaotic circumstances. Had the Trust managed to sell any of their shares they would be in a potentially in a position to invest in the club with the same terms as Silverstein subject to agreement. Why would the club offer better terms to an outsider? The club do own the ground under a commercial leasing agreement similar to those used by department stores. It was a 30 year deal when it was signed. Levien has great commercial contacts and got a great deal with Opel at DC United. Grumbling negative fans do not jhelp in deals of this nature. Its bad for PR. You are 'not sure' how this works. Levien understands the market so do not worry about it. The expansion was quoted at £20m at the time with each of the owners notionally making a prorata contribution. You as a fan clearly want investment but as an owner want other people to do the investing. Effectively going on a pub crawl with no money. This is a typical mentality which demonstates your poor understanding. They should invest and take the benefits of investing just like Slverstein. Club growth is good for everyone. The Trust have lived the good life. Expansion and growth with no investment. This was because Huw Jenkins did a wonderful job. One option was to build up a cash pile by dividends but this woud take several decades. Generally the club did not pay dividends to reduce the tax burden. The only way to generate cash was by selling shares. The Trust wanted things to carry on as before. I bet they did, HJ could pull rabbits out of hats indefinately. Now investment either comes with the Trust paying their 21% share or face dillution. I have consistently argued 21% is too much for them. It was and still is.

Haha what a response that is! Can't answer the point or provide any evidence so its that. Tickled me that has. They can blame whatever they want, the fact is they puilled out of negotiations so the trust couldn't sell as you said they should have. Because this outsider is one of their mates essentially. As i say no other shareholder within the club was offered the opportunity. Haha its fans talking on a forum that's stopping the Americans getting a good sponsorship deal is it!!!? At least it's a change from you blaming the trust for stuff. At the time maybe, you're now saying the trust should pay without mentioning anyone else chipping in though? Oh personal insults now too! This is getting better. Pub Crawl? Do you need to go for one of those walks that i have to remind you to go on from time to time again!? Not sure why you're attributing those words to me. I want the complete opposite. I don't want any other people 'putting money in'. The club did pay dividends though? Ones which far outweighed any of the shareholders initial stake. Not sure where you're going with that. Why wouldn't the supporters want to continue to work with shareholders they knew, trusted, work with for years through a very successful period&had a shareholders agreement with? Not necessarily - as it stands this just a loan. If the loans paid back there'll be no dilution. Oh and theres the matter of an upcoming court case that could make all this dilution talk irrelevant anyway....... [Post edited 12 Feb 2021 18:37]

The US people pulled out of the purchase because they did not believe they could make a deal with the Trust. For a sale the must be a willing buyer and a willing seller. It is clear factions in the Trust did not want to sell. Hostile online reaction stopped the recent vape sponsorship deal. A protest march was seen not so long ago. Very bad PR big brands do not want to be associated with. You admit you do not want investment. This is reasonable but makes progress and a return to the Premier league very difficult. Stadium development near impossible. You fail to understand the HJ era was unprecedented. The devolopment of the club stadium training facilities a series of talented squads with out borrowing was astonishing. The new owners inherited about £50m from the academy that the sellers developed. Some dim fans even begrudge the ex chairman his reward for such excellent work. Some laughably refer to his sucessor as a "proper chairman" as if HJ was a failure. Yes the Trust got £800,000 or so in dividend getting pitful interest. They have wasted about £50,000 at least by not investing in three or five year bonds. Mr Silverstein stated he was an investor not a speculator. If he is true to his word he will convert his loan into shares. He may not charge the 5%, if he does it will be to buy new shares. This is the fine detail. This is clearly this intention otherwise he woud not have said those words. There is no up coming court case as we speak. The background music seems to have changed. New leadership if strong will not accept what it has inherited from a previous poorly performing regime if the benefits are not longer valid. An awful lot can change in 5 years.

But ultimately it was the Americans that pulled out. No matter what reason they cite, that's a fact. And as such your point about the trust selling then is invalid. What hostile reaction!? Is that really the reason that sponsorship deal was announced then pulled? Ive seen no evidence of that. I take it you have inside info on this. And that theres definitely been a CLN issued. Hmm, interesting you'd know these things when theres been no public announcement on them. Are you also saying the owners are incapable of finding sponsors? The vaping company or no one? I thought these were slick, experienced businessmen with a wide contact base? No its not impossible. Our two main rivals for promotion this season do not invest beyond the means of their clubs and neither did we when we got promoted from this division last time. And lets face it, this season we are where without any outward investment. Dont know why you think i think it was unprecedented. Or why you think i doubt the success of Jenkins tenure? Doesn't seem relevant here. I'm sure others could explain in more detail but i assume the trust needed a lot of their funds as as instant access as possible and not tied up in high interest accounts. This i assume has been extremely prevalent since the buyout with the amount of time&expense board members have had to commit®ular correspondence / communication etc. So in hindsight its a good decision to have their funds stored where it was accessible. Not neccessarily. Silvey could have said that to allay fears that hes not some sort of payday lender type figure.the proof will be in the pudding. Not sure why you think that's the case, literally the last trust update stated preparations are ongoing. Sorry to disappoint you. Unless of course the Americans are true to their word and wish to re-engage. No evidence of this happening yet however.

I have no worries about any court case. The time taken suggests all is not well. A complete victory will see the club freed from a failed organisation acting in what I interpret as an illogical manner and giving the club and its owners a bad name. Until now they have been a major dissapointment in my opinion. They could end up a forced buying of their shares at half the market price price. Crack on Swansea city is on the up. Sign up for the ride or get lost. No room for passengers. Their only real achievement was investing £200,000 into the club in 2002 much of it in donations from local businesses. Suing local busiinesses will make re engagement very unlikely in the future.

Interesting viewpoint. Good for you for thinking that if it gives you some comfort despite the very recent testimony of the body that is initiating the court proceedings. There you are with the irrational hatred of the trust again. 'freed'. If the club were needed to be 'freed', that would suggest the trust have a huge influence on the club, meaning the 'trust is an irrelevance' viewpoint must be false? Care to elaborate on how the trust has held the club back in any way? Remember they were there alongside your proclaimed best chairman in our history for the whole time, reaching unprecedented heights. So the reality is you're just back to random digs with no basis. Do you also think the Americans deserve criticism for not bidding&buying the trust's shares at equivalent rates at the very start of their buyout then? By your logic, by them not doing that they've kept this body involved that's apparently against the club's best interests? How would the share sale be half the market value? That's patently false. The Premier league price from the sale i suggest would heavily exceed the 2021 championship club price. To suggest otherwise is extremely disingenuous. But thats to be expected from you. What local businesses are the trust suing? Are you forgetting the Americans tried to sue our local council who kindly constructed the stadium? Predictable lack of self awareness again. Balance my friend, balance. People will respect your opinion more if you exercised it more often.

Last reasoning for this was the Solicitor wasn’t well which seems an unlikely ( reason to cause an extensive delay ). Something doesn’t seem right. And with different people now running the Trust, one of which went out of his way to tell supporters not to vote for legal action the picture may well have changed with alternative plans?

I can only say what was in the latest trust update a few weeks ago. That proceedings are ongoing and positive negotiations have been had with funders.

But they can’t be ongoing as they haven’t even started yet ? It’s still the intention to initiate proceedings ( eventually ) you mean ? Did they say why the considerable delays ? As I’m sceptical to say the least.

Yes maybe i didnt word it correctly. From the last update planning for going to court is still ongoing. So yes the plan is still to proceed with the case. Don't think they gave any reason for the delays. Can see why people would be skeptical but suppose we have to just take their word for it.

I doubt it’ll happen now ... Sadly as it was voted for but the change of hands will scupper it most probably Let’s hope that’s not the case and that my concerns are misplaced ..
